Public Offer

1. General Provisions

1.1. This document is the official proposal (public offer) of Denis to conclude a contract for the provision of services in the field of computer graphics (CG, animation, visual effects, design).

1.2. Acceptance of the offer (confirmation of the order by e-mail, messenger, or payment of the invoice) means full and unconditional consent of the Customer to the terms of this offer.

1.3. Unless otherwise agreed by the Parties in writing in a separate contract or additional agreement, the terms of this offer shall apply.

2. Subject of the Contract

2.1. The Contractor (Denis) undertakes to provide services in the field of computer graphics according to individually agreed assignments.

2.2. The Customer undertakes to accept and pay for the services rendered.

3. Conditions of Work Execution

3.1. The technical assignment, deadlines, and project cost are fixed in correspondence (e-mail, messengers) or by a separate contract.

3.2. Denis provides services based on the materials and information supplied by the Customer.

3.3. Denis shall not be liable for delays caused by the untimely provision of data by the Customer.

3.4. The project includes a reasonable number of revisions based on the agreed technical assignment and the Customer's feedback. Revisions shall be carried out within the scope of the agreed project and shall not substantially change the original concept, technical requirements, or scope of work.

3.5. The final result shall be considered approved if the Customer confirms approval in writing or does not provide reasonable objections within 7 business days after delivery.

4. Payment

4.1. Payment is made in two stages:

  • 50% advance payment before the start of work;
  • 50% before the delivery of the final project files.

4.2. Payment is made by bank transfer.

5. Exclusive Rights

5.1. The Customer is granted the exclusive right to use only the final result of the work.

5.2. Source materials (scenes, projects, scripts, developments) remain the property of Denis and are not transferred unless otherwise agreed in writing.

6. Portfolio

6.1. Denis does not work under the white label model.

6.2. Unless otherwise agreed in writing, Denis reserves the right to officially publish the final result of the project in their portfolio, showreels, on their website, social networks, and other communication channels.

6.3. Publication is only possible after the official release of the project by the Customer or its representatives.

6.4. When conducting events, presentations, and/or publications in social networks related to the project, the Customer, if possible, indicates Denis among the performers of the project (mention of the logo, company name, social media tag).

7. Liability of the Parties

7.1. The Parties shall be liable for non-performance or improper performance of obligations in accordance with applicable law.

7.2. Denis is released from liability in the event of force majeure.

8. Final Provisions

8.1. All additional conditions and changes shall be made in writing.
